The Opportunity:

We are seeking a bright and well-rounded Legal Counsel to support our expanding team of dedicated and hardworking individuals.  As part of the Valens team, you will work closely with our internal and external lawyers, as well as the Corporate/Business Development and Finance teams. You will report directly to the General Counsel and be involved in supporting M&A transactions, corporate governance matters, financings, business acquisitions and dispositions, as well as drafting and negotiating all manner of general corporate and commercial agreements.

As a Legal Counsel you will:

  • Part of the team assisting on corporate and commercial transactions, including financings and M&A transactions, by reviewing and managing legal documentation and facilitating data room management. 
  • Assist with drafting, reviewing, and negotiating complex corporate/commercial agreements (including white label manufacturing agreements, leases, non-disclosure agreements, licensing agreements, and their underlying term sheets and LOIs).
  • Review and update precedent agreements to implement industry best practices.
  • Provide legal support for marketing initiatives in highly regulated industry.
  • Conduct legal research and provide strategic advice to the business.
  • Assisting with management of board, committee and shareholder meetings including organizing, delivering, and assisting with preparing meeting materials (agendas, notices, presentations, resolutions etc.), and preparing minutes for these meetings.
  • Coordinate updates to the AIF, Management Information Circular, and prospectus as required. Assist with accurate completion of insider-reporting obligations.
  • Monitor current and developing statutes, regulations, industry developments and case law to identify legal issues of critical importance to the business and in the cannabis industry.
  • Assist with various other duties as may be assigned.
